    Please review the following details which will be included in any agreement entered into by Fincert.org, a division of the Institute for Financial Literacy, and any guest speaker. 2. Financial Considerations: a. Live Webinar. For each Live Webinar presented by the Guest Educator: i. IFL will pay to Guest Educator an honorarium to be calculated as follows: 1. For the first 20 Attendees, Guest Speaker shall receive 50% of the Attendees’ Webinar Registration Fees paid to IFL. 2. For each additional Attendee above 20, Guest Speaker shall receive 25% of the Attendees’ Webinar Registration Fees paid to IFL. ii. For the purposes of Section 2(a)(i) above, “Attendee” shall be defined as an individual who has paid their Webinar Registration Fee in full and who attends and completes the full Webinar presented by Guest Educator.   iii. For the purposes of Section 2(a) above, “Live Webinar” shall be defined as a presentation by Guest Educator to Attendees through IFL’s training platform during which Guest Educator is presenting content and interacting with Attendees in real time. iv. Payment will be mailed to Guest Educator’s provided address within 30 days of satisfaction of both of the following requirements: 1. Receipt of Guest Educator’s W-9 form per IRS regulations; and 2. The conclusion of the Webinar. b. Pre-recorded Webinar. In the event IFL, in its sole and absolute discretion, records the Live Webinar and makes said recording available for continuing education purposes and charges a fee: i. For each Attendee, IFL will pay to Guest Educator a residual honorarium equal to 25% of the Attendees’ Pre-Recorded Webinar Registration Fees paid to IFL. ii. For the purposes of Section 2(b)(i), “Attendee” shall be defined as an individual who has paid their Pre-Recorded Webinar Registration Fee in full and who completes the full Pre-Recorded Webinar. iii. A monthly Residual Honorarium Payment will be mailed to Guest Educator’s provided address within 30 days of satisfaction of both of the following requirements: 1. Receipt of Guest Educator’s W-9 form per IRS regulations; and 2. The last day of any month in which IFL has received one or more Pre-Recorded Webinar Registration Fee(s) paid by Attendee(s) who completed the Pre-Recorded Webinar. iv. IFL shall not make Pre-Recorded Webinar(s) presented by Guest Educator available to non-Attendees without charging a fee without the express written consent of Guest Educator. c. Registration Fees charged by IFL for Webinars and Pre-Recorded Webinars are posted at www.fincert.org, and are subject to volume discounts and other fee reductions that may be applied in good faith by IFL. d. IFL will not reimburse any expenses related to Guest Educator’s participation in this Agreement, and no remuneration not specified in this Section 2 will be paid to Guest Educator. 3. Intellectual Property a. The Parties agree that nothing in this Agreement shall serve to transfer the intellectual property, including but not limited to copyright(s) and/or trademark(s), of one Party to the other. b. Guest Educator grants IFL a limited, non-exclusive license in any electronic presentation, handouts, voice recording, video recording or other materials utilized in the Webinar (“Webinar Materials”), as well as the name, likeness, photograph, biographical data and related information (“Guest Educator Profile”) for the following purposes: i. Reproduce and distribute Webinar Materials to Attendees for Live Webinars and/or pre-recorded webinars; ii. Develop, reproduce and distribute excerpts, summaries, overviews and/or outlines of the Webinar Materials, Guest Educator Profile, and Webinar in connection with and promotion of the Webinar; iii. Reproduce, distribute and otherwise utilize Webinar Materials, Guest Educator Profile and Webinar in connection with and promotion of the Webinar. c. Guest Educator warrants and represents that the Presentation, handouts, and related materials are factually accurate and contain no matter libelous or otherwise unlawful. Guest Educator further warrants that such Presentation, handouts, and related materials are: i. Guest Educator’s own original work; or ii. Available for use without permission because they are in the public domain; or iii. Presented with the written permission of the originator/owner; or iv. Are within the “fair use” exemption of copyright law. d. Guest Educator indemnifies and holds harmless IFL for any infringement of the intellectual property rights of third parties resulting from Guest Educator’s activities. e. Guest Educator agrees to provide a complete set of Webinar Materials, including but not limited to a PowerPoint or similar format presentation and electronic versions of all handouts, at least 30 days prior to the first scheduled Webinar Date.
